Extra Filing Requirements

Some states require an extra step.

  • In a handful of states there is an extra step required by law that cannot be satisfied by use of an online system. In these states, an official signature from someone associated with the company is required for the filing of certain formation documents. If you select a state and corporate form with an extra signature requirement, you will be notified during the online process. Next, the necessary document will be promptly sent to you for signature, along with detailed instructions and a postage-paid return envelope addressed to Enitia.com.
  • In most cases the necessary extra signature is required of your company’s resident agent, authorizing to serve in the position as resident agent.

  • Additionally, Nevada and Utah require signatures from at least one of the members of an LLC.
  • In New Hampshire, an officer or agent of the company must sign an SRA, which is a document that states that the company’s securities are registered, or explains why the securities are exempt from registration.
  • The formation of Arizona Corporations and LLCs requires the filing of a disclosure agreement. The agreement, which requests information on prior bankruptcies and prison sentences of officers, directors, and shareholders, must be filed along with the Articles of Incorporation.
  • Finally, Louisiana corporations must state an Employer Identification Number (EIN) on the Articles of Incorporation. Although no signatures are required and no documents need to be sent to you prior to incorporation, this is a prerequisite that must be taken care of before filling out the online application on our site.
